Terms of Service

Welcome to DoCiao (“DoCiao,” “we,” “us,” or “our”), a service operated by YIYA International, a corporation organized under the laws of the State of California, with its principal place of business at 6565 W Sunset Blvd, Los Angeles, CA 90028. These Terms of Service (“Terms”) govern your access to and use of dociao.com and any related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of 18, you represent that you have your parent or guardian’s permission to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Your Account

  • You must provide a valid email address to create an account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to notify us immediately at support@dociao.com of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. User-Generated Content

The Service does not currently offer a general user-upload feature. The provisions in this Section 3 will apply if and when such a feature becomes available to users.

3.1 Your Content

The Service may allow you to upload, post, or submit text, images, files, or other materials (“User Content”). You retain ownership of your User Content, subject to the license below.

3.2 License to Us

By submitting User Content, you grant DoCiao a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify, display, and distribute your User Content in connection with operating, promoting, and improving the Service.

3.3 Your Responsibilities

You represent and warrant that:

  • You own or have the necessary rights to submit your User Content;
  • Your User Content does not infringe the intellectual property, privacy, or other rights of any third party;
  • Your User Content does not violate any applicable law.

3.4 Prohibited Content

You agree not to upload, post, or share content that:

  • Is unlawful, defamatory, obscene, harassing, or hateful;
  • Infringes any patent, trademark, trade secret, copyright, or other intellectual property right;
  • Contains another person’s private or personal information without their consent;
  • Contains viruses, malware, or other harmful code;
  • Impersonates any person or entity;
  • Violates the rights of others or is otherwise objectionable.

3.5 Content Moderation

We reserve the right, but are not obligated, to review, monitor, remove, or disable access to any User Content at our sole discretion, at any time and for any reason, including content that violates these Terms.

3.6 Public Visibility

Some or all of your User Content may be publicly visible to other users and visitors of the Service, depending on the features available at the time of posting.

4. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose;
  • Interfere with or disrupt the Service, servers, or networks connected to the Service;
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems;
  • Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent;
  • Upload content that violates Section 3.4 above;
  • Circumvent or attempt to circumvent any security or access restrictions of the Service;
  • Use the Service to transmit spam or unsolicited communications.

5. Coupons

5.1 Coupons and Promotions

From time to time, we may offer coupons, discount codes, or other promotions (“Promotions”) to users, typically delivered via the email address associated with your account. Promotions are subject to the following:

  • Promotions may have specific eligibility requirements, expiration dates, or usage limitations, which will be disclosed at the time the Promotion is offered;
  • Promotions have no cash value unless otherwise stated;
  • We reserve the right to modify, suspend, or cancel any Promotion at any time;
  • Promotions are non-transferable unless explicitly stated otherwise.

5.2 Points and Rewards

The Service may allow you to earn points or similar virtual credits (“Points”) through participation, including by scanning promotional QR codes. Points have no cash value, cannot be exchanged for cash, and may only be redeemed within the Service as described at the time they are offered.

Any coupon, discount, or offer associated with a third-party merchant is an offer made by that merchant, not by DoCiao, and DoCiao is not a party to any resulting transaction.

Points obtained through a duplicated, shared, or fraudulently obtained QR code may be revoked at our discretion. Creating multiple accounts to earn additional Points beyond what a single account would receive is prohibited and may result in suspension or termination of your account.

6. Intellectual Property

Except for User Content, the Service and all content, features, and functionality thereof (including but not limited to text, graphics, logos, and software) are owned by DoCiao or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

7. Third-Party Services

The Service may use or link to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is subject to their respective terms and privacy policies. The service providers we currently rely on are named in our Privacy Policy.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information. By using the Service, you consent to the practices described in our Privacy Policy.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may also stop using the Service and delete your account at any time by contacting us at support@dociao.com.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE ARE NOT RESPONSIBLE FOR ANY USER CONTENT POSTED BY OTHER USERS, AND WE DO NOT ENDORSE ANY OPINIONS OR CONTENT EXPRESSED BY USERS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DOCIAO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US, IF ANY, IN THE PAST TWELVE (12) MONTHS, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE ANY LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

12. Indemnification

You agree to indemnify and hold harmless DoCiao and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

13. Changes to the Service and These Terms

We reserve the right to modify or discontinue the Service, in whole or in part, at any time without notice. We may also update these Terms from time to time. When we do, we will update the “Last Updated” date above. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state and federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and DoCiao regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
